OpenAI's $150 Billion Valuation Dependent on Corporate Overhaul, Sources Say

They indicated that the company's staggering $150 billion valuation will depend on its ability to overhaul its corporate structure and eliminate a profit cap for investors.

Details of the $6.5 billion funding round, which have not been previously disclosed, highlight OpenAI's evolution from a research-focused non-profit to a profit-driven entity. This transformation underscores the structural changes the world's most valuable AI startup is prepared to undertake to attract increased investment for its ambitious goal of developing artificial general intelligence (AGI), or AI that surpasses human intelligence.

The substantial funding round has garnered strong interest from investors and could be finalized within the next two weeks, bolstered by OpenAI's rapid revenue growth, sources noted.

Current investors such as Thrive Capital, Khosla Ventures, and Microsoft are expected to participate in the round. Additionally, new investors including Nvidia and Apple are set to join. Sequoia Capital is also reportedly in discussions to return as an investor.

Should the restructuring efforts fail, OpenAI may need to renegotiate its valuation with investors, potentially at a lower figure, at which their shares will be converted, according to sources who spoke to Reuters on the condition of anonymity due to the private nature of the discussions.
